Umoe Bioenergy, S.A. (“UMOE”) and CIFI Latam, S.A. (“CIFI”) entered into agreements for the purchase of floating rate notes due 2028 to be issued by UMOE, in the aggregate principal amount of up to $15 million, as follows:

(i) initial securities of up to $12 million in aggregate principal amount of UMOE’s floating rate notes due 2028 (“Initial Securities”); and

(ii) additional securities of up to $3 million in aggregate principal amount of UMOE’s floating rate notes due 2028.

The securities have been and will be issued pursuant to an indenture entered into on December 21, 2020 by and between UMOE and UMB Bank, N.A., as trustee, note registrar and paying agent.

On December 30, 2020, UMOE issued the Initial Securities in the principal amount of $12 million. The Initial Securities were offered in an offshore transaction in reliance on Regulation S under the Securities Act.

The proceeds of the issuance will be used, to pay costs and expenses in connection with UMOE’s investment program of planting about 12,500 hectares of sugarcane for crop renewal, ratoon treat investments and additional working capital through 2022.
