The purpose of this presentation is to cover the various governance issues that should be considered from a compensatory perspective, including (in no particular order): (i) design of Compensation Committee charters, (ii) perform risk assessments to mitigate risky behavior, (iii) recoupment policies, (iv) perquisite disclosures, (v) proper selection of incentive metrics, (vi) testing potential payouts under various performance scenarios and (vii) designing equity compensation trading windows within an insider trading policy.
