Hunton Andrews Kurth LLP acted as counsel to the underwriters in connection with the issuance of (i) $140 million of The Walker County Economic and Industrial Authority Solid Waste Disposal Revenue Bonds (Alabama Power Company Plant Gorgas Project), First Series 2023 (“First Series 2023 Bonds”) and (ii) $88 million of The Walker County Economic and Industrial Authority Solid Waste Disposal Revenue Bonds (Alabama Power Company Plant Gorgas Project), Second Series 2023 (the “Second Series 2023 Bonds” and, together with the First Series 2023 Bonds, the “Bonds”).

The Bonds are issued to provide funds to finance the cost of the acquisition, construction, installation and equipping of certain solid waste disposal facilities or portions thereof located at Alabama Power Company’s (“APC”) Gorgas Steam Plant in Walker County, Alabama and to pay all or a portion of the costs of issuance of the Bonds.

APC is a wholly owned subsidiary of The Southern Company. APC is engaged in the generation, transmission, distribution, and purchase of electricity and the sale of electric service within the State of Alabama at retail in approximately 400 cities and towns (including Anniston, Birmingham, Gadsden, Mobile, Montgomery, and Tuscaloosa), as well as in rural areas and at wholesale.
