Hunton Andrews Kurth LLP is representing Intrepid Partners LLC (“Intrepid”) in connection with the acquisition of Shell Midstream Partners LP (“Shell Midstream”) by Shell USA Inc. (“Shell USA”). Shell USA, a subsidiary of Shell Plc, will acquire all of the common units representing limited partner interests in Shell Midstream that are currently held by the public. The $1.96 billion transaction was announced July 25, 2022.

Headquartered in Houston, Texas, Shell Midstream owns, operates, develops and acquires pipeline and other midstream and logistics assets in the U.S. Its assets include oil and refined products pipelines and terminals that serve as key infrastructure to transport onshore and offshore crude oil production to the U.S. Gulf Coast and Midwest refining markets. Its assets also include natural gas and refinery gas pipelines that transport offshore natural gas and deliver refinery gas to chemical sites along the U.S. Gulf Coast.

Intrepid, which is serving as the financial advisor to the conflicts committee, is represented by a team led by partner Mike O’Leary with counsel Mike Hoffman and associate Casey Shaw. Partner Tom Ford and associate Tim Strother are handing tax issues, and partner Ian Goldberg and associate Garrett Korbitz are handling oil and gas matters.
