Program:  Contractual Standards of Conduct: A Litigation Take

When documenting a transaction, lawyers frequently find themselves including terms defining the standards of conduct expected of contractual parties after closing.  Terms such as “best efforts,” “commercially reasonable discretion” or “sole discretion” appear frequently.  And when the economics of a deal change, counterparties often dispute whether these standards of conduct have been met.  This one-hour program will focus on how these standard terms are construed by the courts and how disputes over them are resolved, with an emphasis on the practical realities of modern commercial litigation. Brian Otero and Mike Kruse of Hunton Andrews Kurth LLP’s litigation team will share their thoughts on the topic.
