Hunton Andrews Kurth LLP special counsel Allen C. Goolsby has received the Virginia Bar Association’s Legislative Advocacy Award, which has been renamed in his honor.

Goolsby received the award on Jan. 24 during the annual VBA Winter Conference in Williamsburg, Virginia. The VBA recognized Goolsby’s instrumental role in developing and updating Virginia’s corporate statutes, and its leadership unanimously voted to rename the recognition the Allen C. Goolsby Legislative Advocacy Award.

“Allen’s longtime work shaping Virginia’s corporate code has played a major part in making Virginia attractive to businesses,” said Hunton Andrews Kurth partner Rudene Mercer Haynes, who just completed a three-year term on the VBA Board of Governors. “This award is a fitting tribute to Allen and a well-deserved recognition of his leadership in the corporate bar.”

Goolsby was the chief drafter of the first comprehensive revision of Virginia’s Stock Corporation Act in 1985. He has led all subsequent updates to the Stock Corporation Act, including the second comprehensive revision in 2019. He also served for a number of years on the American Bar Association committee that is the author of the Model Business Corporation Act, the principal source for the Stock Corporation Act.

Goolsby served as VBA president in 1991 and is among the VBA’s Life Members, those with 40 years or more of continuous membership. In 2006, the VBA awarded him the Walker Award of Merit in appreciation of his exceptional leadership.

He is a co-author with Hunton Andrews Kurth partner Steven M. Haas of Goolsby & Haas on Virginia Corporations, the definitive guide to Virginia corporate law. In its sixth edition, the publication contrasts the Virginia Stock Corporation Act with the Model Business Corporation Act and Delaware corporate law and focuses on the role, responsibilities and risk associated with serving as a corporate director or officer and the relationship between boards and shareholders.
