Hunton Andrews Kurth LLP advised the dealer-managers in connection with a private exchange offer under Regulation S and Rule 144A of the Securities Act of 1933, as amended. The exchange offer by Oncor Electric Delivery Company LLC (“Oncor”) consisted of certain of Oncor’s outstanding debt securities exchanged for $300 million aggregate principal amount of Oncor’s new series of 5.35% Senior Secured Notes due 2052.

Oncor operates the largest transmission and distribution system in Texas, delivering electricity to more than 3.7 million homes and businesses and operating more than 139,000 miles of transmission and distribution lines. Oncor is an indirect, majority-owned subsidiary of Sempra Energy.
