May 15, 2020 – Hunton Andrews Kurth’s Bangkok office assisted Banpu Public Company Limited (“Banpu”) and its Delaware holding affiliate Banpu North America Corporation (“BNAC”) in the capital contribution and corporatization of BKV Oil & Gas Capital Partners, L.P., and establishment of BKV Corporation. BKV Corporation was registered under the laws of the United States of America with its authorized share capital of USD 1,500 million. The completion was announced on the Stock Exchange of Thailand notification on May 8th, 2020.

As lead counsel, EIT lawyers across the Bangkok and US offices mutually advised on all stockholder, equity financing and related documentation with the management shareholders to corporatize BKV Oil & Gas Partners, L.P.’s multi-million dollar portfolio of North American upstream and midstream oil and gas assets. This will position the company to further develop and scale up for an initial public offering on the New York Stock Exchange. The proceeds of the investment will, in part, be used to fund BNAC’s acquisition of the gas assets located in the Barnett Shale Basin in Texas, further increasing Banpu’s footprint in the US upstream and midstream oil and gas space.

Despite some additional hurdles and complexities arising from the ongoing COVID-19 pandemic, the Hunton Andrews Kurth lawyers across Bangkok and US offices worked together to achieve a successful closing.
