Hunton Andrews Kurth Advises on NextEra Energy Capital Holdings, Inc.’s $1.5 Billion Fixed Rate and Floating Rate Debentures Offering

Hunton Andrews Kurth LLP advised the underwriters on an SEC-registered offering by NextEra Energy Capital Holdings, Inc. (NEECH) of $1.5 billion aggregate principal, consisting of (i) $1.1 billion aggregate principal amount of 2.94% Debentures, Series due March 21, 2024 (the “Fixed Rate Debentures”) and (ii) $400 million aggregate principal amount of Floating Rate Debentures, Series due March 21, 2024 (the “Floating Rate Debentures”, together with the Fixed Rate Debentures, the “Debentures”). The Debentures are fully and unconditionally guaranteed by NextEra Energy, Inc. (NEE), the parent company of NEE Capital. The transaction closed March 21, 2022.

NEE's principal subsidiaries are Florida Power & Light Company, which serves more than five million customer accounts in Florida and is one of the largest rate-regulated electric utilities in the United States, and NextEra Energy Resources, LLC, which together with its affiliated entities is the world’s largest generator of renewable energy from the wind and sun, as well as a world leader in battery storage.
