Negative Assurance Letters in Securitizations

Brief Description: Negative Assurance Letters, sometimes called 10b-5 letters, are delivered as conditions to closing of securities offerings.  They assist the underwriters or initial purchasers to document their due diligence investigation to help establish defenses to suits under the federal securities laws.  The panel will discuss these legal underpinnings of these letters, and then delve into how they are used in the context of securitizations.
