Hunton Andrews Kurth Advises Initial Purchasers in Connection with The Narragansett Electric Company’s (d/b/a Rhode Island Energy) $500 Million Senior Notes Offering

Hunton Andrews Kurth LLP represented the initial purchasers in connection with The Narragansett Electric Company’s (d/b/a Rhode Island Energy) (“RIE”) issuance of $500 million aggregate principal amount of its 5.350% Senior Notes due 2034 in a private placement under Rule 144A and Regulations S of the Securities Act of 1933, as amended, to eligible purchasers. The transaction closed on March 25, 2024.

RIE is a regulated public utility organized under the laws of the State of Rhode Island whose principal business consists of its regulated energy delivery business in the State of Rhode Island. As of December 31, 2023, RIE provided electric service to approximately 514,000 electric customers and gas service to approximately 278,000 natural gas customers in Rhode Island. RIE’s service territory covers an area that is equivalent to approximately 1,200 square miles with a population in excess of 1,000,000. On May 25, 2022, PPL Rhode Island Holdings, LLC, a wholly-owned subsidiary of PPL Corporation, acquired 100% of the outstanding shares of The Narragansett Electric Company’s common stock from National Grid U.S., a subsidiary of National Grid plc, and began doing business under the name Rhode Island Energy.
